1.2 Status Vocabulary
The Closing Coordinator controls this checklist. Each status must be supported by evidence, not assumption. Use Not Started, In Progress, Ready, Satisfied, Waived in Writing, Deferred in Writing, Not Applicable or Blocked. Only the person identified in the authority matrix in Section 2 may mark a condition waived or authorize funding. “Ready” means the deliverable exists in execution form and awaits only release; it is not “Satisfied.”
1.3 Key Terms Used in this Control Document

|---|---|
| Agreement or Loan Agreement | The loan and security agreement (see EF-098) and, where the context requires, the other Loan Documents |
| Loan Documents | The Agreement, notes, guaranties, fee letter, warrant, IP agreement, control agreements, subordination agreements and every other document the Agreement defines as a loan document |
| Loan Parties | The Company and each guarantor or grantor |
| Closing Coordinator | The single person who controls the Master Checklist and records every status change |
| Master Checklist | The one reconciled checklist that both sides work from (see 6.4) |
| Condition or CP | A condition precedent to signing, the initial advance or a later advance under the Agreement |
| Release Authority | The named individuals entitled under Section 2 to release signature pages, lien terminations, wires or waivers |
| Escrowed Signature Page | A signature page delivered to counsel subject to written release instructions and not yet deemed delivered (see 12.1) |
| Payoff Creditor | Any existing creditor being repaid or whose lien is being released or subordinated at closing |
| Perfection Step | A filing, recordation, control agreement, possession or notation required for the lender’s security interest |
| Post-Closing Item | A deliverable permitted by the Agreement to be completed after funding by a stated deadline |
| Lapse Date | The date a UCC financing statement ceases to be effective under UCC 9-515 absent a continuation |
| Continuation Window | The six-month period before the Lapse Date during which a continuation statement may be filed |
| Approved Channel | A telephone number or other contact method for wire verification established before the transaction and recorded in Section 2, never taken from the message being verified |

| 3.9 | Beneficial ownership certification | FinCEN customer due diligence rule, 31 CFR 1010.230, or lender contractual equivalent | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | [SECURE LOCATION] |
| 3.10 | Sanctions and watch-list screening of Loan Parties, beneficial owners, controlling persons and every payment beneficiary in Section 11 | OFAC Specially Designated Nationals and consolidated lists; lender policy | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 |

| 3.15 | Trade names, former names and name-change history with dates and filed evidence | Secretary of State records; see 7.1 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 |
Beneficial ownership certification (row 3.9). Bank lenders must identify and verify the beneficial owners of a “legal entity customer” under the FinCEN customer due diligence rule, 31 CFR 1010.230. The rule has two prongs: the ownership prong (each individual who directly or indirectly owns 25 percent or more of the equity interests) and the control prong (one individual with significant responsibility to control, manage or direct the entity, such as the chief executive officer, chief financial officer or president). Non-bank venture lenders are not themselves “covered financial institutions” under that rule, but most require an equivalent certification by contract because their warehouse lenders, depository banks or fund documents demand it. The certification is a factual statement by an officer and should: identify the certifying person and capacity; list each qualifying individual with the information the lender’s form requires; state the date as of which the information is accurate; and be delivered to a restricted folder, not the general binder.
Sanctions screening (row 3.10). Screen every Loan Party, guarantor, beneficial owner, control person, Payoff Creditor and wire beneficiary against the OFAC Specially Designated Nationals and Blocked Persons List and the consolidated sanctions lists, and record the date, tool and result. Screening is a lender compliance requirement, but the Company should also run it because the Agreement will contain sanctions and anti-corruption representations the Company must be able to make. A potential match halts the affected wire until cleared and documented.
Freshness and name accuracy (rows 3.1, 3.6, 3.7 and 3.15). Confirm the freshness standard for certificates (commonly within [5] to [10] business days of closing, with bring-down by telephone or online verification on the funding date), the exact entity names as they appear on the public organic record, jurisdictions and organizational identification numbers. The debtor name on each financing statement must be the name shown on the public organic record (UCC 9-503(a)(1)); a trade name alone is insufficient (UCC 9-503(c)). Do not include sensitive identity materials in the general closing binder unless access is restricted and retention is justified.

The Closing Coordinator must compare each execution copy against the approved version and resolve missing pages, schedules, inconsistent dates, incorrect legal names and unauthorized material changes before any signature page is released. Record the comparison method (redline against approved version, page count, file hash) in the Final location column.
4.2 Legal Opinions
If the Agreement requires an opinion of Company counsel, settle its scope before documents are final; the opinion drives backup certificates and can delay closing more than any other deliverable.
| Element | Customary content | Company position |
|---|---|---|
| Addressees | Lender, agent and lenders party to the Agreement on the closing date | Limit to named addressees; permit reliance by permitted assignees only on written notice and only as of the opinion date |
| Opinions given | Due organization, valid existence and good standing of each Loan Party in its jurisdiction of organization; corporate power and authority; due authorization, execution and delivery; enforceability of the Loan Documents governed by the opinion jurisdiction’s law; no violation of charter, bylaws or specified laws; no required governmental consents; no conflict with scheduled material agreements; creation of the security interest under the Agreement; perfection by filing of the UCC-1 in the jurisdiction of organization; status under the Investment Company Act; no violation of Regulations T, U or X | Resist opinions on material-agreement conflicts beyond a short scheduled list; resist perfection opinions on control, possession, foreign law or IP recordation; no opinion on priority, title or validity of IP |
| Assumptions | Genuineness of signatures; authenticity of documents; capacity of natural persons; due authorization, execution and delivery by parties other than the Loan Parties; accuracy of factual certificates; lender’s authority and good faith; value given | Customary; ensure the lender-side assumptions are expressly stated |
| Qualifications | Bankruptcy, insolvency and equitable principles; indemnification and contribution limits; choice-of-law, forum, jury waiver and remedies limits; no opinion on usury if the lender is not regulated; customary Uniform Commercial Code qualifications (no opinion on priority, on continued perfection after changes in the debtor’s name, location or collateral, or on the effect of Article 9 provisions limiting the enforceability of anti-assignment terms) | Customary; add that no opinion is given on compliance with securities laws for the warrant beyond the exemption actually relied on |
| Reliance and date | Speaks only as of its date; no duty to update; reliance limited to the transactions contemplated | Confirm the Agreement does not require a bring-down opinion at later tranches unless separately negotiated |
4.3 Guaranty and Joinder
| Item | Completion |
|---|---|
| Guarantors at closing | 摆鈼庐 |
| Excluded subsidiaries (immaterial, foreign, regulated or prohibited by law or contract) | 摆鈼庐 |
| Foreign subsidiary treatment (guaranty excluded; pledge of [65 percent or 100 percent] of voting equity) | 摆鈼庐 |
| Savings clause limiting each guarantor’s liability to the maximum amount that would not render the guaranty avoidable under fraudulent-transfer law | 摆搂闭 |
| Contribution and subrogation waivers until payment in full | 摆搂闭 |
| Joinder deadline for newly formed or acquired subsidiaries | Within [30] days of formation or acquisition; see 9.7 and PC-08 |
| Guarantor authority documents (3.1 through 3.6 for each guarantor) | 摆鈼庐 |
4.4 Subordination and Intercreditor Arrangements for Existing Convertible Notes and SAFEs
Review every outstanding convertible note, SAFE, side letter and promissory note using the register in 7.2, then decide for each whether the lender requires (a) a subordination agreement signed by the holder, (b) scheduling as permitted indebtedness without a separate agreement, or (c) conversion or repayment at or before closing.
| Element | Lender’s typical ask | Founder-protective position |
|---|---|---|
| Instruments covered | Every convertible note and any SAFE with debt-like terms (maturity, repayment right, interest, redemption or a cash-out right senior to equity) | Standard post-money SAFEs rank the cash-out amount junior to indebtedness by their terms; ask the lender to accept scheduling without a signed subordination for SAFEs lacking any repayment right |
| Who signs | Each holder, or the holders’ representative if the note purchase agreement permits a majority to bind all holders | Use the majority-amendment mechanism where available to avoid chasing every holder; confirm the mechanism covers subordination, not only economic amendments |
| Payment blockage | No cash payments of principal or interest while senior debt is outstanding | Permit conversion into equity at any time, payment-in-kind interest and de minimis cash payments; permit repayment from proceeds of a qualified equity financing with lender consent |
| Standstill | Holders may not accelerate or exercise remedies for [180] days after notice | Shorter standstill; standstill does not block conversion, suit to preserve claims or participation in a bankruptcy |
| Turnover | Payments received in violation are held in trust and turned over | Customary; limit to payments on the subordinated debt, not equity received on conversion |
| Amendments | No extension of maturity, increase in rate or new covenants without lender consent | Permit maturity extensions and conversion-price changes without consent |
| Information | Lender copied on notices of default under the notes | Customary |
4.5 Warrant
| Term | Record | Closing deliverable |
|---|---|---|
| Class of stock (common or latest-round preferred) | 摆鈼庐 | Board approval of issuance; charter authorization confirmed; preemptive-rights waiver (3.4) |
| Number of shares or coverage formula (coverage percentage 脳 amount funded 梅 exercise price) | 摆鈼庐 | Cap-table update; confirm formula applies to amounts actually drawn, not committed |
| Exercise price and antidilution (structural adjustments only) | 摆鈼庐 | Confirm no price-based antidilution |
| Term ([7] to [10] years) and survival after repayment | 摆鈼庐 | Calendar expiration in Section 16 |
| Net-exercise and automatic exercise on expiration or sale | 摆鈼庐 | Confirm cashless-exercise mechanics |
| Investor-rights joinder (information and registration rights) | 摆鈼庐 | Joinder executed; confirm major-investor thresholds not triggered |
| Put right or cash settlement | 摆鈼庐 | Resist; if accepted, confirm accounting treatment with auditors |
| Securities-law exemption (Securities Act 搂 4(a)(2) or Regulation D) and legends | 摆鈼庐 | Investor representations in warrant; Form D if relied on |
| Tranche-based issuance (warrants issue only as tranches fund) | 摆鈼庐 | Confirm each later tranche’s warrant is pre-approved by the board |
4.6 Fee Letter and Final Payment
| Fee | Authorizing document and section | Amount or formula | When paid | Netted from proceeds | Reconciled to Section 10 |
|---|---|---|---|---|---|
| Commitment or facility fee | 摆搂闭 | 摆鈼庐|Closing|[YES/NO]|摆鈼庐||Good鈥呪垝鈥faithdepositcredit|Termsheet|(摆鈼庐) | Credited at closing | Credit | 摆鈼庐 |

| Prepayment fee schedule | 摆搂闭 | 摆鈼庐 percent in year 1; 摆鈼庐 percent in year 2; 摆鈼庐 percent thereafter | On prepayment | No | Section 16 |
| Unused or non-utilization fee | 摆搂闭 | 摆鈼庐 percent per annum on undrawn commitment | [Quarterly] | No | Section 16 |
| Lender legal fees and expenses (cap $摆鈼庐) | 摆搂闭 | $摆鈼庐 per invoice | Closing | [YES / NO] | Invoice in binder |
| Original issue discount or interest paid in advance | 摆搂闭 | $摆鈼庐 | Closing | Yes | 摆鈼庐 |
4.7 Intellectual-Property Negative Pledge or Springing Lien
| Item | Completion |
|---|---|
| Structure (IP excluded with negative pledge; springing lien; current collateral) | 摆鈼庐 |
| Trigger events for the springing lien (event of default; failure to meet [MILESTONE]; change of control) | 摆搂闭 |
| Escrow of the executed, undated IP security agreement and release instructions | [HOLDER / INSTRUCTIONS] |
| UCC collateral description excludes IP consistently with the grant but includes proceeds and accounts arising from IP | 摆鈼庐 |
| USPTO and Copyright Office recordation steps on a springing event (see 9.5) | 摆鈼庐 |
| Exclusive licenses and in-bound licenses whose terms prohibit a lien (UCC 9-408 limits the effect of such restrictions on attachment but does not make the lien enforceable against the licensor and may be preempted by federal law) | 摆鈼庐 |
4.8 Control Agreements by Account
| Account (masked) | Bank or intermediary | Type (operating, payroll, trust or fiduciary, escrow, FBO, sweep, foreign, credit-card collateral, investment) | Purpose | Approximate balance | Excluded under Agreement | Control required | Springing or blocked | Bank turnaround | Deadline | Status |

| 5.5 | Secretary certificate (charter, bylaws, resolutions, incumbency) | 摆搂闭 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 |
| 5.6 | Solvency certificate, if required (see Solvency Certificate Elements below) | 摆搂闭 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 |
| 5.7 | Compliance certificate or opening covenant calculations (EF-101) | 摆搂闭 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 |
| 5.8 | Insurance certificates and endorsements (see Insurance Endorsement Specifics below) | 摆搂闭 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 |

| 5.10 | Capitalization table certified by an officer | 摆搂闭 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 |
Certificate standards (all rows). Every factual certificate should state its capacity, date, knowledge or inquiry standard, reliance materials and exceptions. Do not turn a factual certificate into a legal opinion or cause an officer to certify matters controlled exclusively by the lender (for example, that the lender’s conditions are satisfied “to the lender’s satisfaction”). Officers sign in their corporate capacity only; add that language expressly.
Solvency certificate elements (row 5.6).
| Element | Customary statement | Notes for a venture-stage company |
|---|---|---|
| Balance-sheet test | The fair value of the assets of the Loan Parties, taken as a whole, exceeds their total liabilities, including contingent liabilities | Fair value may reflect going-concern and enterprise value, not book value |
| Fair saleable value test | The present fair saleable value of the assets exceeds the amount required to pay probable liabilities as they become absolute and matured | Contingent liabilities are valued at the amount that, in light of all facts, can reasonably be expected to become actual |
| Cash-flow test | The Loan Parties are able to pay their debts and liabilities as they mature in the ordinary course | For a pre-profit company, this rests on cash on hand, the loan proceeds and reasonable expectations of continued equity support; say so expressly |
| Capital-adequacy test | The Loan Parties do not have unreasonably small capital for the business in which they are engaged as conducted and proposed to be conducted | Reference the board-approved operating plan |
| Intent | No transfer or obligation is incurred with intent to hinder, delay or defraud creditors | Customary |
| Basis | Pro forma for the loan, the use of proceeds and the payoff of existing debt, based on financial statements and projections prepared in good faith on assumptions believed reasonable | Attach or reference the projections; add that projections are not guarantees |
| Signatory and capacity | Chief financial officer or other senior financial officer, solely in that capacity and without personal liability | Essential; resist any individual-capacity language |
Insurance endorsement specifics (row 5.8).
| Coverage line | Required endorsement or provision | Deliverable | Common timing | Notes |
|---|---|---|---|---|
| Commercial property and equipment (all-risk, replacement cost) | Lender’s loss payable endorsement in favor of lender (for example ISO CP 12 18 Lender’s Loss Payable option or carrier equivalent) covering collateral | Endorsement page, not only a certificate | Closing or within [30] days | A plain “loss payee” clause gives weaker rights than a lender’s loss payable clause, which protects the lender against the insured’s acts |
| Commercial general liability | Additional insured endorsement in favor of lender (for example ISO CG 20 26 or equivalent) | Endorsement page | Closing or within [30] days | Confirm limits match Agreement ([$1,000,000] per occurrence and [$2,000,000] aggregate are common) |
| Business interruption, if required | Lender’s loss payable | Endorsement page | 摆鈼庐 | Resist unless the business depends on physical premises |
| Cyber, technology errors and omissions, directors’ and officers’ | Certificate evidencing coverage; no endorsement in lender’s favor is customary | ACORD 25 or carrier certificate | Closing | D&O is not collateral; resist any lender interest in it |
| Workers’ compensation | Statutory coverage evidenced | Certificate | Closing | No endorsement |
| Key-person life, if required | Collateral assignment to lender | Assignment acknowledged by carrier | 摆鈼庐 | Resist; rarely appropriate for venture debt |
| Cancellation notice | Thirty days’ prior written notice of cancellation or non-renewal to lender (ten days for non-payment of premium) | Endorsement; the ACORD certificate’s notice language is disclaimed and insufficient | Closing or within [30] days | Carriers increasingly refuse notice to third parties; negotiate “endeavor to provide” fallback or a Company covenant to forward notices within [2] business days |
| Certificate forms | ACORD 25 (liability) and ACORD 28 (evidence of commercial property insurance) | Certificates | Closing | Certificates are informational and confer no rights; endorsements control |
6 Conditions Precedent Matrix
Classify each Condition as applying to signing, the initial advance, a later advance or all advances. Quote or accurately summarize the operative requirement, identify objective evidence and name the person with authority to determine satisfaction. The Agreement controls; this matrix is an index to it, not a substitute.

6.3 Waiver and Deferral Protocol
Avoid a blanket statement that all conditions are satisfied until the matrix is complete. If a Condition is discretionary, state who exercises the discretion and preserve the written determination. A Condition is not waived by silence, circulation of an incomplete checklist or funding preparation. Every waiver or deferral must: identify the Condition by Agreement section; state whether it is waived permanently or deferred to a date; name the Post-Closing Item it becomes (Section 14); be signed or sent by the lender officer named in 2.2; and be filed in the binder tab for Section 6.
6.4 When the Lender’s Checklist and the Company’s Checklist Disagree
Venture lenders’ counsel usually circulate and control the closing checklist. The Company should maintain a mirror checklist keyed to the same Agreement sections. When the two disagree:
- Reconcile to the Agreement, not to either checklist. For each disputed item, locate the Agreement section that makes it a Condition. If no section does, the item is a lender request, not a Condition; it may be agreed as a Post-Closing Item or declined, but it cannot block funding under the Agreement.
- Classify the disagreement. Distinguish (a) whether a document exists or is final, (b) whether a Condition is satisfied, (c) whether a Condition is discretionary, and (d) whether an item is a Condition at all. Only (b) and (c) involve judgment; (a) and (d) are verifiable.
- Resolve status language. Replace subjective entries (“in good shape,” “almost there”) with the vocabulary in 1.2 and the evidence that supports it.
- Escalate in writing within [1] business day to the named lender officer and Company officer in 2.2 with the Agreement section quoted. Do not let the closing call be the first time the disagreement is raised.
- Record the outcome on the Master Checklist and in Section 6 as satisfied, waived in writing, deferred in writing or removed as not a Condition.
- Never fund on inconsistent lists. If the two checklists still disagree on any Condition at the time of the closing call, the Closing Coordinator records the item as Blocked and the call does not proceed to release.
7 Diligence and Existing Obligations
Confirm completion and review of:
- organizational, capitalization and authority diligence;
- debt, lien and UCC searches under current and former names (7.1);
- deposit, securities and payment-processor accounts (4.8);
- intellectual-property ownership, material licenses and recorded interests;
- material contracts containing liens, negative pledges, debt restrictions or change-of-control provisions;
- litigation, judgments, taxes and governmental claims;
- insurance and loss-payee or additional-insured requirements (Section 5, Insurance Endorsement Specifics);
- existing financing, equipment leases, merchant advances, convertible instruments and guarantees (7.2 and 7.3); and
- government grants, awards and restricted funds (7.4).
Document the search date, through-date, jurisdiction, names searched, exceptions and disposition. A search report is not a legal conclusion about priority and may not capture unfiled or non-UCC interests, statutory liens, possessory liens, federal or state tax liens filed in other offices, or interests perfected by control or possession.
7.1 Lien Search Strategy
| Element | Requirement | Legal basis or rationale | Completion |
|---|---|---|---|
| Current exact legal name of each Loan Party | Search the name exactly as it appears on the public organic record, using the filing office’s standard search logic | UCC 9-503(a)(1); 9-506(c) safe harbor | 摆鈼庐 |
| Former legal names within the past [5] years | Search each former name; filings made under a former name remain effective for collateral acquired within four months after a seriously misleading change | UCC 9-507(c) | 摆鈼庐 |
| Trade names, d/b/a names and common misspellings | Search even though a trade name alone is not a sufficient debtor name; careless filers use them and payoff requires locating the filing | UCC 9-503(c); practical | 摆鈼庐 |
| Predecessors by merger, conversion or asset acquisition within the past [5] years | Search predecessor names; a new debtor may be bound by a predecessor’s security agreement | UCC 9-203(d), 9-508 | 摆鈼庐 |
| Founders or affiliates who contributed assets | Search where assets were contributed subject to personal financing | Practical | 摆鈼庐 |
| Jurisdiction: state of organization | Central filing office of the state where each registered organization is organized | UCC 9-301(1), 9-307(e) | 摆鈼庐 |
| Jurisdiction: prior state if reincorporated or redomesticated within the past [4] months and, prudently, [5] years | Filings in the former jurisdiction remain effective for four months after a change of location | UCC 9-316(a) | 摆鈼庐 |
| Jurisdiction: District of Columbia for a debtor organized outside the United States whose home jurisdiction lacks a qualifying public filing system | Such a debtor is deemed located in the District of Columbia | UCC 9-307(c) | 摆鈼庐 |
| Jurisdiction: county real-property records for fixtures at each owned or leased location | Fixture filings are made in the real-property records | UCC 9-501(a)(1) | 摆鈼庐 |
| Federal tax liens | Search in the office designated by the state where the Company’s principal executive office is located, and in the state of organization | Internal Revenue Code 搂 6323(f) | 摆鈼庐 |
| State tax liens, judgment liens and pending litigation | Secretary of State, county recorder and clerk of court in the state of organization and each state with a principal office; federal courts through the public docket system | State law | 摆鈼庐 |
| Bankruptcy | Federal bankruptcy dockets for each Loan Party and predecessor | Practical | 摆鈼庐 |
| USPTO and Copyright Office | Assignment and security-interest recordations against each registered patent, trademark and copyright | 35 U.S.C. 搂 261; 15 U.S.C. 搂 1060; 17 U.S.C. 搂 205 | 摆鈼庐 |
| Certificate-of-title and specialty registries | State motor vehicle records for titled vehicles; FAA and Coast Guard registries only if aircraft or vessels exist | UCC 9-311 | 摆鈼庐 |
| Lapsed filings | Request lapsed filings for the past year; filing offices retain lapsed records for one year | UCC 9-519(g) | 摆鈼庐 |
| Through-date and gap | Record each report’s through-date; filing-office indexing lags create a gap of [7] to [14] days; order a bring-down search dated no earlier than [3] business days before funding | Practical | 摆鈼庐 |
| Post-closing confirmation search | Order [4] to [6] weeks after funding to confirm the lender’s UCC-1 and each UCC-3 termination are indexed correctly | Practical | 摆鈼庐 |
| Name searched | Jurisdiction and office | Search types | Through-date | Hits | Disposition (payoff, subordinate, permitted, amend, terminate, ignore with reason) | Reviewer |
|---|---|---|---|---|---|---|
| 摆鈼庐 | 摆鈼庐 | [UCC / TAX / JUDGMENT / LITIGATION / BANKRUPTCY / IP] | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 |
7.2 Existing Convertible Notes and SAFEs
| Instrument | Holder(s) | Principal or purchase amount | Issue date | Maturity or none | Interest | Secured | Debt-like terms (repayment right, redemption, cash-out senior to equity, dissolution payment) | Amendment and consent threshold | Permitted under Agreement as | Subordination required | Status |
|---|---|---|---|---|---|---|---|---|---|---|---|
| 摆鈼庐 | 摆鈼庐 | $摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 percent | [NO] | 摆鈼庐 | [MAJORITY IN INTEREST / EACH HOLDER] | [PERMITTED SUBORDINATED DEBT / PERMITTED CONVERTIBLE DEBT] | [YES / NO] | 摆鈼庐 |
Convertible notes are indebtedness and will be scheduled and, in most facilities, subordinated. A SAFE is not indebtedness under its standard form, but review each instrument and side letter for a maturity date, repayment right, interest accrual, redemption right or a cash-out right that is not expressly junior to indebtedness; any such term makes the instrument debt-like for the lender’s purposes. Confirm whether any instrument requires the holder’s consent to the incurrence of senior secured debt. Treat the disposition of each instrument as a Condition (CP-12) and record it in 4.4.
7.3 Equipment Leases and Merchant Cash Advances
| Identification method | What it reveals | Completion |
|---|---|---|
| Bank-statement review for recurring daily or weekly debits | Merchant cash advances and revenue-based financing, which are often documented as “purchases of future receivables” rather than loans but file UCC-1s against all receivables or all assets | 摆鈼庐 |
| UCC search hits by leasing companies and finance companies | Equipment leases with precautionary filings (UCC 9-505), some with blanket descriptions that must be amended to specific equipment | 摆鈼庐 |
| Fixed-asset register compared with title and invoices | Leased, financed or consigned equipment; equipment titled to a founder or affiliate | 摆鈼庐 |
| Accounts payable and vendor terms | Vendor financing, deferred payment arrangements and purchase-money security interests | 摆鈼庐 |
| Corporate card, spend-management and treasury programs | Card issuers that take a security interest in deposit accounts, require cash collateral or file a UCC-1 | 摆鈼庐 |
| Receivables factoring or financing | Sold or pledged receivables; notification arrangements | 摆鈼庐 |
| Government-backed loans | Small Business Administration disaster or other loans carrying a blanket UCC lien and requiring agency consent for certain actions | 摆鈼庐 |
| Personal guaranties by founders of Company obligations | Contingent obligations the Agreement may require to be scheduled | 摆鈼庐 |
For each item identified, record it in Section 8 with its disposition. Equipment leases that are true leases may remain in place as permitted liens if the UCC-1 is limited to the leased equipment; capital leases are indebtedness subject to the permitted-indebtedness basket. Merchant cash advances almost always require payoff at closing because their blanket receivables filings are senior in time; obtain a payoff letter and escrowed termination per Section 8 and confirm the agreement does not contain a confession of judgment or personal guaranty that survives.
7.4 Government Grants, Awards and Restricted Funds
| Award | Agency and award number | Property or IP funded | Restriction type | Source | Disposition (exclude from collateral, obtain agency consent, schedule as permitted lien, segregate account) | Status |
|---|---|---|---|---|---|---|
| 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | [ENCUMBRANCE RESTRICTION / PROPERTY TRUST / IP LICENSE AND MARCH-IN / USE RESTRICTION / RESTRICTED CASH] | [2 CFR 200.313 and 200.316; 35 U.S.C. 搂搂 200 through 212; award terms] | 摆鈼庐 | 摆鈼庐 |
Equipment and intangible property acquired with federal awards are held subject to a property trust relationship and use and disposition conditions under the Uniform Guidance (2 CFR Part 200); encumbering such property without agency approval may breach the award. Inventions conceived under federal funding are “subject inventions” under the Bayh-Dole Act, carrying a non-exclusive government license and march-in rights that survive any lien. Grant advances held in a segregated account are frequently restricted and should be excluded from collateral and from control agreements. Record each award’s restriction and the disposition agreed with the lender; the Agreement’s collateral exclusions and permitted-liens schedule must match.
8 Payoff, Release and Subordination
For every existing secured or subordinated obligation, record:
| Creditor | Obligation | Payoff amount and good-through date | Per diem | Release documents | Filing or control termination | Funding dependency | Escrow holder and release trigger | Status |
|---|---|---|---|---|---|---|---|---|
Confirm per diem, fees, prepayment charges, contingent obligations, cash collateral, returned originals and release timing. Review blanket lien releases for accuracy and ensure they do not terminate liens that should remain (for example, a lender’s own pre-filed UCC-1 or a permitted equipment lessor’s filing).
8.1 Payoff Letter Contents Checklist
| No. | Content | Why it matters | Status |
|---|---|---|---|
| 8.1.1 | Addressed to the Company, with express permission for the new lender to rely | The new lender’s counsel will not accept a letter it cannot rely on | 摆鈼庐 |
| 8.1.2 | Itemized payoff amount: principal, accrued interest through the good-through date, final payment or exit fees, prepayment premium, unused fees, legal fees, breakage and any other charge, each by component | Allows reconciliation to the Payoff Creditor’s documents and Section 10 | 摆鈼庐 |
| 8.1.3 | Good-through date and per diem thereafter, covering at least [2] business days past the scheduled funding date | Closings slip; a lapsed good-through date requires a new letter | 摆鈼庐 |
| 8.1.4 | Wire instructions, verified by callback to an Approved Channel and logged in Schedule 3 | Payoff wires are the most common target of business email compromise | 摆鈼庐 |
| 8.1.5 | Statement that upon receipt of the payoff amount all obligations are paid in full, all commitments terminate and all liens and security interests automatically terminate and are released | The operative release language; without it, the lien survives payment | 摆鈼庐 |
| 8.1.6 | Authorization for the Company or the new lender to file UCC-3 termination statements and IP releases, or delivery of executed terminations into escrow per 8.2 | A termination filed without the secured party’s authorization is ineffective (UCC 9-509(d), 9-510) | 摆鈼庐 |
| 8.1.7 | Undertaking to deliver, at the Company’s expense, further releases, IP release instruments in recordable form and control-agreement termination notices to each depository bank within [3] business days | Ensures the record is cleaned up where filing alone is insufficient | 摆鈼庐 |
| 8.1.8 | Return of possessory collateral: original notes marked cancelled, stock certificates, undated stock powers, intercompany notes | Possession-perfected collateral is not released by a UCC-3 | 摆鈼庐 |
| 8.1.9 | Treatment of surviving obligations limited to contingent indemnities and expense reimbursements for which no claim has been asserted | Prevents the letter from preserving broader claims | 摆鈼庐 |
| 8.1.10 | Treatment of letters of credit, credit cards, treasury-management, foreign-exchange and hedging exposures and any cash collateral | “Obligations” definitions often sweep in bank products that must be separately terminated or cash-collateralized | 摆鈼庐 |
| 8.1.11 | Statement that warrants or equity held by the Payoff Creditor are unaffected (if applicable) and that any investor-rights obligations of the Payoff Creditor continue | Avoids a dispute about whether the warrant survives | 摆鈼庐 |
| 8.1.12 | Signature by the Payoff Creditor or agent of record (the secured party of record on the UCC filing) | Only the secured party of record can authorize termination | 摆鈼庐 |
| 8.1.13 | Reference to the Fedwire or other reference number as the trigger for release | Objective evidence of receipt | 摆鈼庐 |
8.2 Escrowed Termination Mechanics
| Step | Action | Responsible | Evidence |
|---|---|---|---|
| 1 | Payoff Creditor’s counsel prepares UCC-3 terminations (one per filing, by file number and office), IP release instruments and bank termination notices, and confirms the filing authorization | Payoff Creditor counsel | Drafts circulated [3] business days before funding |
| 2 | Executed or authorized terminations delivered to the escrow holder named in 2.2 (commonly new lender’s counsel or the filing agent) subject to written instructions | Payoff Creditor counsel | Escrow email quoting document list |
| 3 | Escrow instructions state the sole release trigger: written confirmation from the Payoff Creditor that it has received the payoff amount, identified by Fedwire reference number, or lapse of [1] business day after the Company provides the originating bank’s confirmation without objection | Both counsel | Escrow instructions in binder |
| 4 | New lender funds the payoff wire directly to the Payoff Creditor (or to escrow, see 8.3) and the originating bank confirmation is circulated | Lender operations; Company finance | Fedwire confirmation |
| 5 | Payoff Creditor confirms receipt in writing | Payoff Creditor | Email confirmation |
| 6 | Escrow holder releases terminations for filing; filing agent files the same business day and reports acknowledgments | Escrow holder; filing agent | File-stamped UCC-3s |
| 7 | Bring-down search [4] to [6] weeks later confirms each termination is indexed against the correct initial filing number | Filing agent | Search report in Section 15 |
| 8 | If funding does not occur by the outside date, the escrow holder returns or destroys the terminations and confirms in writing | Escrow holder | Return confirmation |
8.3 Sequencing Payoffs with Lien Releases
8.4 Subordination of Remaining Debt
For debt that remains outstanding, record the subordination agreement in 4.4 and 7.2, confirm the Agreement’s permitted-indebtedness schedule lists it, and calendar any standstill or payment-blockage notice mechanics in Section 16.
9 Collateral and Perfection at Closing
9.1 Filing
For each UCC financing statement, identify the debtor name exactly as required, jurisdiction, filing office, collateral description, filer, authorization, target time, file number and evidence. Do not use a generic “all assets” description unless it matches the executed grant and approved filing strategy. A financing statement may be filed before the security agreement is signed (UCC 9-502(d)), but pre-filing requires the debtor’s separate authenticated authorization (UCC 9-509(a)); once the security agreement is signed, it supplies the authorization for the collateral it describes (UCC 9-509(b)). Record the authorization relied on in 9.5.
9.2 Control
Track each deposit account, securities account, commodities account, payment processor and electronic chattel-paper system requiring control (4.8). State whether the account is excluded, subject to a threshold, maintained with the lender, covered by an agreement or permitted temporarily. Control is the only method of perfection for a deposit account as original collateral (UCC 9-312(b)(1), 9-104).
9.3 Possession and Special Assets
Track certificated securities, instruments, tangible chattel paper, titled goods, fixtures, letter-of-credit rights, commercial tort claims and other collateral requiring possession, notation, specific description or special filing. Commercial tort claims must be described with specificity in the security agreement (UCC 9-108(e)) and after-acquired commercial tort claims are not covered by a general grant (UCC 9-204(b)(2)); the Agreement should require notice and a supplement when a claim arises.
9.4 Intellectual Property
State whether IP is current collateral, excluded, subject to a negative pledge or subject to a springing lien (4.7). Identify each UCC and federal or foreign recordation step separately; do not assume one action substitutes for another. Under the prevailing view, security interests in patents and trademarks are perfected by UCC filing and recorded at the USPTO for notice against later purchasers, while security interests in registered copyrights are perfected by recordation in the Copyright Office and in unregistered copyrights by UCC filing.
9.5 Per-Jurisdiction Filing and Recordation Table

9.6 Landlord, Bailee and Warehouse Waiver Tracking
| Location | Type (headquarters lease, co-working, laboratory, data center, contract manufacturer, logistics provider) | Landlord or bailee | Collateral at site and approximate value | Required by Agreement (threshold $摆鈼庐) | Statutory or contractual lien to be waived | Access and removal period requested | Rent-cure right | Status | Fallback (post-closing deadline, reserve, exclusion) |
|---|---|---|---|---|---|---|---|---|---|
Several states grant landlords a statutory lien on tenant property located on the premises (for example, Florida Statutes 搂 83.08 for nonresidential tenancies); waivers address both statutory and lease-based liens. Co-working operators and data centers commonly refuse waivers; contract manufacturers and logistics providers will often sign a bailee acknowledgment that also serves perfection purposes under UCC 9-313(c).
9.7 Subsidiary Joinders and Equity Pledges
| Subsidiary | Jurisdiction | Ownership percentage | Guarantor | Equity pledged (percentage) | Certificated or uncertificated | Article 8 opt-in (for LLCs) | Certificates and undated powers delivered | Issuer acknowledgment | Local-law step | Joinder deadline for future subsidiaries | Status |
|---|---|---|---|---|---|---|---|---|---|---|---|
| 摆鈼庐 | 摆鈼庐 | 摆鈼庐 percent | [YES / NO / EXCLUDED] | [100 / 65 / 0] | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | [30] days after formation or acquisition | 摆鈼庐 |
Confirm the Agreement’s subsidiary covenant: new subsidiaries must join as guarantors and grantors (or have their equity pledged) within the stated period, deliver organizational documents and good standings, and update the perfection certificate. Calendar the obligation in Section 16 as event-driven.
9.8 Intercompany Notes and Receivables
| Payor | Payee | Amount outstanding | Documented by (global intercompany note or individual notes) | Subordinated to lender | Note endorsed and delivered to lender | Permitted under intercompany-investment basket | Status |
|---|---|---|---|---|---|---|---|
| 摆鈼庐 | 摆鈼庐 | $摆鈼庐 | 摆鈼庐 | [YES / NO] | [YES / NO] | 摆搂闭 | 摆鈼庐 |
Intercompany obligations should be documented by a single global intercompany note, pledged and delivered to the lender with an endorsement, and subordinated under the Agreement or a separate intercompany subordination agreement. Confirm transfer-pricing and withholding treatment for payments to or from foreign subsidiaries with tax counsel.
PART II 鈥 FUNDS FLOW AND RELEASE
10 Sources and Uses
| Sources | Amount | Uses | Amount |
|---|---|---|---|
| Initial loan proceeds | $摆鈼庐 | Payoff of existing debt (Section 8) | $摆鈼庐 |
| Additional lender advance | $摆鈼庐 | Lender fees or original issue discount (4.6) | $摆鈼庐 |
| Company contribution | $摆鈼庐 | Lender legal fees and expenses | $摆鈼庐 |
| Other source | $摆鈼庐 | Company legal, filing, search and agent fees | $摆鈼庐 |
| Interest paid in advance, if any | $摆鈼庐 | ||
| Restricted, escrowed or cash-collateral amount | $摆鈼庐 | ||
| Net proceeds to Company | 摆鈼庐||鈥*鈥呪*鈥Totalsources鈥*鈥呪赌*鈥厊鈥*鈥*摆鈼庐** |
Total sources must equal total uses. Reconcile every fee and deduction to the signed document authorizing it using the table in 4.6. Identify amounts that are estimates, subject to later invoice or netted from proceeds. Confirm that net proceeds to the Company equal the amount the Company expects to receive in its operating account and that the receiving account is not one the lender may block.
11 Wire Register and Security Protocol
11.1 Wire Register
Maintain full wire instructions only in the approved encrypted workspace or payment platform. The circulated funds-flow memorandum should show beneficiary legal name, purpose, amount, bank name, masked account and verification status.
| Payment | Beneficiary | Purpose | Amount | Masked account | Independent callback (Schedule 3 reference) | Dual approval | Sanctions screen (3.10) | Release status | Reference number |
|---|---|---|---|---|---|---|---|---|---|
11.2 Verification Protocol
- Every wire instruction is verified by telephone to an Approved Channel recorded in Section 2 before the transaction began, never to a number in the email or document containing the instruction.
- The verifier reads back the beneficiary name, bank, routing number and the full account number and records the person reached, the number dialed, the date and time and the details confirmed in Schedule 3.
- The verifier is not the person who received the instruction or who will release the wire.
- Any new or changed instruction, however explained, restarts the protocol and requires a second person to repeat the callback. A change received on the funding date is presumed fraudulent until verified.
- Payoff Creditor instructions are verified against the payoff letter and by callback to the Payoff Creditor’s contact listed in Section 2, not to a contact supplied with the letter.
- The lender’s operations team conducts its own verification; the Company does not rely on it and the lender does not rely on the Company’s.
- A suspected compromise stops release and activates 11.3.
11.3 Wire-Fraud Incident Response Procedure
| Step | Action | Timing | Responsible |
|---|---|---|---|
| 1 | Stop all pending releases; instruct the originating bank to hold or recall the wire (a Fedwire payment is final once settled, so recall depends on the beneficiary bank’s cooperation) | Immediately on suspicion | Finance lead; lender operations |
| 2 | Telephone the beneficiary bank’s fraud department and request a freeze and return of funds | Within the first hour | Finance lead; counsel |
| 3 | File a complaint with the FBI Internet Crime Complaint Center and request initiation of its financial fraud kill chain process for qualifying domestic wires (currently wires of $50,000 or more reported within 72 hours; confirm the current thresholds) | Within 72 hours and as early as possible | Counsel |
| 4 | Notify the cyber or crime insurer under the policy’s notice provision; confirm whether social-engineering or funds-transfer-fraud coverage applies and preserve the right to recover | Same day | Finance lead; broker |
| 5 | Preserve evidence: email headers, platform logs, the altered instruction, the callback log and the timeline | Same day | Counsel; information technology |
| 6 | Treat the email environment as compromised until cleared: reset credentials, enable multifactor authentication, review mailbox rules and forwarding, and engage a forensic provider | Same day | Information technology |
| 7 | Communicate only by telephone to Approved Channels and a newly established secure channel; do not use the compromised mailbox | Throughout | All |
| 8 | Notify the lender and every other closing party that the closing is paused, and record the pause in Section 12 | Same day | Closing Coordinator |
| 9 | Assess allocation of loss under UCC Article 4A (whether a commercially reasonable security procedure was agreed and followed) and under the Agreement and any escrow agreement | Within [5] business days | Counsel |
| 10 | Prepare an incident log and after-action memorandum; update the protocol in 11.2 | Within [10] business days | Closing Coordinator |
12 Funding Release Conditions
12.1 Electronic Signature and Execution Protocol
| Element | Protocol |
|---|---|
| Governing law | Electronic signatures are generally valid for the Loan Documents under the federal ESIGN Act (15 U.S.C. 搂 7001 and following) and the Uniform Electronic Transactions Act as adopted in the relevant state (New York applies its own Electronic Signatures and Records Act). The Agreement should contain an electronic-signature and counterparts clause |
| Platform | [DocuSign / Adobe Acrobat Sign / OTHER]; retain the platform’s completion certificate and audit trail for each envelope in the binder |
| Documents requiring wet-ink originals | Promissory notes (a note signed electronically is enforceable as a contract but may not be a negotiable instrument under UCC Article 3 unless structured as a transferable record under UETA 搂 16 and 15 U.S.C. 搂 7021; most venture lenders require a wet-ink original or treat the note as non-negotiable); stock certificates and undated stock powers; global intercompany note; any document to be notarized, apostilled or recorded in a registry that rejects electronic signatures; certain depository-bank control agreements |
| Documents requiring recordable form | IP security agreement (USPTO and Copyright Office cover-sheet requirements); fixture filings; foreign-law security documents per local counsel |
| Escrow of signature pages | Each party’s counsel collects its client’s signature pages (electronic or scanned wet-ink) in advance. Pages are held in escrow, not attached to documents, not dated and not deemed delivered until released in writing |
| Release instructions | Written instructions, exchanged between counsel before signing, that state: (1) the pages are held in escrow; (2) the sole release trigger is confirmation on the closing call by each Release Authority named in 2.2 that the Conditions are satisfied or waived in writing and funds are released or irrevocably in flight; (3) upon release, documents are dated the funding date and compiled; (4) if release does not occur by [OUTSIDE DATE AND TIME], pages are destroyed or returned and are void |
| Release log | Each release is recorded in Schedule 2 with time, releasing counsel, document list and the email or recording that evidences it |
| Dating | Documents are dated on release, not on signature; confirm notarial certificates (if any) and good-standing bring-downs align with the release date |
| Originals | Wet-ink originals are delivered by tracked courier to the holder named in 2.2 within [2] business days of release; the binder records tracking numbers |
| Failed closing | All escrowed pages, undated instruments and terminations are returned or destroyed with written confirmation; no document is deemed delivered |
12.2 Closing Call Script
The Closing Coordinator conducts the call from the Master Checklist. Record the call if all parties consent, and in any case keep a contemporaneous log.
- Roll call and authority. “[CLOSING COORDINATOR]: Please state your name, organization and role. Confirm that the Release Authorities named in Section 2.2 are present: [COMPANY OFFICER], [COMPANY COUNSEL], [LENDER OFFICER], [LENDER COUNSEL], [PAYOFF CREDITOR OR ESCROW HOLDER].”

1. Final documents are signed or held under valid release instructions (12.1).
2. Required approvals and certifications are effective.
3. Applicable Conditions are satisfied or covered by an authorized written waiver or deferral (6.3).
4. No stop instruction, injunction or known compromise prevents funding (11.3).
5. Payoff and lien-release mechanics are synchronized (8.2 and 8.3).
6. Funds flow balances and wires are independently verified (11.2).
7. Required filings are accepted, queued under approved instructions or validly deferred (9.5).
8. The precise funding date, time, time zone and release statement are recorded.

Review acknowledgments for correct names, jurisdictions and collateral. A filing’s acceptance does not establish attachment, perfection or priority. The filing date for lapse purposes is the date and time shown on the filing office’s acknowledgment (UCC 9-516 and 9-519), not the date the record was prepared or signed; use the acknowledgment date to calculate the Lapse Date. Record continuation windows and changes that may require amendment, including legal-name, jurisdiction or organizational changes (17.2).

Calendar both the contractual deadline and an internal preparation date. Include grace periods only as escalation information; do not use them as routine due dates.
17 Continuation, Amendment and Release Calendar
Track UCC continuation windows, intellectual-property maintenance or recordation updates, control-agreement changes, subsidiary formations, debtor name or jurisdiction changes, payoff dates and release deliverables. Assign a responsible person independent of the original deal team so the register survives personnel changes.
17.1 UCC Continuation and Lapse Calculator
A filed financing statement is effective for five years after the date of filing (UCC 9-515(a)). A continuation statement may be filed only within the six months before the Lapse Date (UCC 9-515(d)); one filed earlier is ineffective (UCC 9-510(c)). On lapse, the security interest becomes unperfected and is deemed never to have been perfected as against a purchaser of the collateral for value (UCC 9-515(c)). A timely continuation extends effectiveness for five years from the original Lapse Date (UCC 9-515(e)), and successive continuations are permitted.
| Filing (debtor, office, file number) | Filing date (acknowledgment) | Lapse Date (filing date plus 5 years) | Continuation Window opens (Lapse Date minus 6 months) | Internal target (window open plus 30 days) | Final internal deadline (Lapse Date minus 15 business days) | Owner | Continuation filed (date and file number) | Next Lapse Date |
|---|---|---|---|---|---|---|---|---|
| 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 | 摆鈼庐 |
Worked example with placeholder dates: a UCC-1 acknowledged as filed on 15 October 2026 lapses on 15 October 2031; the Continuation Window opens on 15 April 2031; the internal target is 15 May 2031; the final internal deadline is 24 September 2031; a continuation filed in the window extends effectiveness to 15 October 2036. Apply the same calculation to each guarantor’s filing, each fixture filing and any District of Columbia filing. Fixture filings and filings against transmitting utilities have different durations in some circumstances; confirm with the filing office. Federal recordations (USPTO, Copyright Office) do not lapse but should be refreshed when the underlying IP schedule changes.
17.2 Name, Jurisdiction and Structure Change Triggers
| Trigger event | UCC consequence | Deadline | Required action | Agreement notice covenant | Owner |
|---|---|---|---|---|---|
| Change of the debtor’s legal name that makes the filed financing statement seriously misleading (including a conversion from “LLC” to “Inc.”) | Filing remains effective for collateral acquired before and within four months after the change, but not for collateral acquired more than four months after unless an amendment is filed within four months (UCC 9-507(c)) | Four months after the change | File UCC-3 amendment with the new name in the same office; update IP recordations and control agreements | 摆搂闭; [30] days’ prior written notice | 摆鈼庐 |
| Change of the debtor’s location (reincorporation or redomestication to another state; for a non-registered organization, relocation of chief executive office) | Perfection continues for four months after the change or until lapse, whichever is earlier; if not perfected in the new jurisdiction within that period, the interest is deemed never perfected against a purchaser for value (UCC 9-316(a), (b)) | Four months after the change | File a new UCC-1 in the new jurisdiction; obtain bring-down search there | 摆搂闭; prior written notice and consent | 摆鈼庐 |
| Transfer of collateral to a person located in another jurisdiction who becomes a debtor | Perfection continues for one year after the transfer (UCC 9-316(a)(3)) | One year after transfer | File against the transferee in its jurisdiction | 摆搂闭 | 摆鈼庐 |
| Merger, conversion or acquisition in which another entity becomes bound as a “new debtor” by the security agreement | Original filing is effective against the new debtor; if the new debtor’s name differs so as to be seriously misleading, the filing covers collateral acquired within four months only (UCC 9-508) | Four months after the new debtor becomes bound | File new UCC-1 against the new debtor | 摆搂闭; consent required | 摆鈼庐 |
| Change of debtor’s organizational type without a name change | Generally no filing consequence if the entity continues; confirm whether the state treats the conversion as creating a new entity | Confirm within [30] days | Search and, if necessary, re-file | 摆搂闭 | 摆鈼庐 |
| Formation or acquisition of a subsidiary | No effect on existing filings; new grantor requires its own perfection steps | Per Agreement joinder period | 9.7 steps | 摆搂闭 | 摆鈼庐 |
| New deposit or securities account | No perfection until control is obtained | Per Agreement ([30] days) | Control agreement or account with lender | 摆搂闭 | 摆鈼庐 |
| New location holding collateral above threshold | No filing consequence for personal property; fixture filing if fixtures; landlord waiver per 9.6 | Per Agreement | Waiver request; fixture filing | 摆搂闭 | 摆鈼庐 |
| New registered IP or newly registered copyright | Existing UCC filing covers after-acquired general intangibles; federal recordation and schedule update required if IP is collateral | Per Agreement ([quarterly]) | Supplement and record | 摆搂闭 | 摆鈼庐 |
| Commercial tort claim asserted | Not covered by existing grant (UCC 9-204(b)(2)) | Per Agreement | Supplement with specific description | 摆搂闭 | 摆鈼庐 |
| Lender assignment or agent change | Filing remains effective; UCC-3 assignment optional | None | Confirm secured party of record for future terminations | 摆搂闭 | 摆鈼庐 |
17.3 Annual Perfection Review Protocol
Conduct the review on each anniversary of the funding date, before each later tranche draw and after any trigger event in 17.2. The reviewer should be independent of the original deal team.
| Step | Review item | Method | Finding | Action and owner |
|---|---|---|---|---|
| 1 | Entity names and jurisdictions of each Loan Party against Secretary of State records | Online record pull | 摆鈼庐 | 摆鈼庐 |

18 Closing Binder and Record Retention
The final binder should follow the index in Schedule 1 and contain:
- an index with document title, date, parties and final version;
- signed principal and ancillary documents;
- authority documents and approval evidence;
- final certificates and disclosure schedules;
- filing, search, control, payoff and release evidence;
- final funds flow, funding confirmation and the Schedule 3 callback log;
- the Schedule 2 signature-page release log, escrow instructions and platform audit certificates;
- legal opinions, if any, in their permitted reliance folders;
- post-closing register, completion evidence and the executed Exhibit A certificate; and
- a record of superseded drafts or privileged material maintained separately under applicable policy.
Use access controls appropriate to personal data, banking information, privileged advice and trade secrets. Keep KYC, beneficial-ownership and full wire instructions in a restricted folder separate from the general binder. Remove editing comments, tracked changes and unnecessary hidden metadata from final execution files while preserving legally required records. Retain the binder for at least the life of the facility plus the longest limitations period applicable to the Loan Documents, and retain perfection evidence until every lien is released of record.
19 Completion Certification
The Closing Coordinator may mark the transaction administratively complete only when all closing items are satisfied or validly waived and each Post-Closing Item is completed, formally extended or transferred to the covenant calendar with an accountable owner, and the post-closing certificate in Exhibit A has been delivered.

What this form is for
This integrated form is the operational backbone of a venture-debt closing. It connects authority, know-your-customer and sanctions items, documents, legal opinions, conditions, lien searches, existing convertible instruments and advances, payoff mechanics, money movement, electronic execution, wire security, perfection by jurisdiction and method, post-closing work, the UCC continuation and change-trigger calendar and ongoing covenant administration in one auditable system. It is designed to be run alongside the loan and security agreement (EF-098), the perfection certificate (EF-099), the borrowing request (EF-100), the compliance certificate (EF-101), the intellectual-property agreement (EF-102) and the board and investor approval record (EF-103). Founders should use it to maintain their own mirror of the lender’s checklist, to control release of signature pages and funds, and to carry perfection obligations through the life of the facility.
Completion checklist
- Identify one Closing Coordinator and two named Release Authorities per side; record them in Section 2.2 before any signature page is collected.
- Complete the know-your-customer, beneficial ownership and sanctions rows in Section 3 and keep that material in a restricted folder.
- Settle legal-opinion scope, subordination strategy for convertible instruments, warrant mechanics and control-agreement exclusions before documents are final (Section 4).
- Tie every Condition in Section 6 to an Agreement section and objective evidence; never certify that “all conditions are satisfied.”
- Run the lien search strategy in 7.1 under every name and jurisdiction, identify every merchant advance, lease, card program and grant restriction, and dispose of each in Section 8.
- Obtain payoff letters meeting the 8.1 checklist and document escrowed-termination mechanics and sequencing in 8.2 and 8.3.
- Complete the per-jurisdiction filing table in 9.5 and the waiver, joinder and intercompany tables in 9.6 through 9.8.
- Reconcile sources and uses to the fee table in 4.6 and verify every wire under 11.2 with Schedule 3 entries.
- Agree the electronic-signature and escrow protocol in 12.1 in writing, run the closing call from 12.2 and record releases in Schedule 2.
- Enter the dates in 13.1, the Post-Closing Items in Section 14, the continuation calculator in 17.1 and the change triggers in 17.2 into the covenant calendar.
- Assemble the binder using Schedule 1 and deliver the post-closing certificate in Exhibit A.

Three pass review
Pass 1 Completeness. Confirm parties, release authorities, KYC and sanctions, documents, opinions, authority, disclosures, solvency and insurance elements, all conditions rows, lien search coverage, convertible instruments, leases and advances, grants, payoff letters and escrow terms, filing table by jurisdiction, waivers, joinders, intercompany notes, funds flow and fee reconciliation, wire log, execution protocol, closing call, key dates, post-closing items, continuation calculator, change triggers, annual review, binder index and post-closing certificate.
Pass 2 Risk. Test legal-name accuracy against public organic records, missing schedules, unauthorized changes, “all conditions satisfied” language, discretionary conditions without a named decision-maker, priority gaps from unidentified merchant advances or card liens, payoff letters lacking automatic-release language, unverified or changed wires, signature pages held without escrow terms, deferred control agreements, foreign-law deadlines, lapse dates, four-month change triggers and unclear waiver authority.
Pass 3 Publication. Remove client identities, contacts, bank data, economics, filing references, account inventories, signatures, evidence links, callback logs, privileged notes, comments and hidden metadata while preserving the blank workflow, pre-populated condition rows, statutory references and drafting notes.
Attorney review warning
A closing checklist is a control tool, not a substitute for document analysis or legal judgment. Funding, release and perfection decisions must be made under the executed agreements and applicable law by authorized counsel and parties. Statutory references, including Uniform Commercial Code sections, FinCEN rules, insurance form numbers and law-enforcement reporting thresholds, vary by state and change over time and must be confirmed before use.
