Intellectual Property Security Agreement
A supplemental security agreement for patents, trademarks, copyrights, domain names, software, data, models, and related proceeds, with chain-of-title schedules, UCC and federal recordation coordination, prosecution and licensing covenants, enforcement limits, and release documents.
Drafting standard applied
Module control. Use only as a supplement to a valid secured obligation and Article 9 package. Select covered IP families, registered and unregistered rights, foreign rights, licenses, domain names, source code and escrow, data and AI assets, prosecution standards, after-acquired schedules, federal recordation documents, and enforcement transition. Do not represent that federal recordation alone or UCC filing alone perfects every category.
Operative form with optional analysis
Opening: This Intellectual Property Security Agreement (this 鈥淎greement鈥) is entered into as of [DATE] by [GRANTOR LEGAL NAME], a [STATE AND ENTITY TYPE] (鈥淕rantor鈥), and [SECURED PARTY LEGAL NAME] (鈥淪ecured Party鈥) and supplements [IDENTIFY PRINCIPAL SECURITY AGREEMENT].
1Supplemental Grant
Grantor grants a security interest in the identified Intellectual Property Collateral to secure the defined Obligations, supplementing the general security agreement. The grant covers Grantor's actual transferable rights and proceeds, subject to exclusions, license restrictions, statutory limits, and territorial rules. It does not transfer ownership before enforcement or expand rights under third-party licenses.
Drafting analysis
- Instruction
- State precedence with EF-076 and the credit documents.
- Risk controlled
- Duplicate grants with inconsistent definitions create uncertainty.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
2IP Collateral
鈥淚P Collateral鈥 means Grantor鈥檚 transferable right, title, and interest in the patents and applications; trademarks, service marks, trade names, registrations, applications, associated goodwill, and domain names; copyrights and registrations; software, source code, documentation, databases, datasets, models, weights, prompts, output rights, trade secrets, know-how, mask works, design rights, licenses, royalties, claims, and proceeds identified by category and asset in Schedule 1. IP Collateral does not include ownership Grantor does not possess or rights it cannot transfer under Section 3.
Drafting analysis
- Instruction
- Tailor emerging-technology assets to actual rights and contracts.
- Risk controlled
- A broad label cannot create rights that law or licenses deny.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
3Excluded IP
鈥淓xcluded IP鈥 means the rights identified in Schedule 1 for which a lien is prohibited by nonwaivable law, would terminate an enforceable material license restriction not displaced by law, requires an unreceived consent, consists of personal data Grantor does not own, has been abandoned under an approved threshold, or is intentionally outside the transaction. An exclusion is limited to the period and extent of the restriction and does not exclude lawful proceeds. When the restriction ends or consent is obtained, the right automatically becomes IP Collateral, subject to required attachment, perfection, and recordation steps.
Drafting analysis
- Instruction
- Itemize licenses and restrictions; track when exclusions end.
- Risk controlled
- Ignoring anti-assignment provisions can terminate critical inbound rights.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
4Chain of Title
Grantor represents scheduled ownership, inventorship and authorship records, employee and contractor assignments, acquisition documents, recorded changes, and disclosed liens or disputes to the negotiated knowledge and materiality standard. Grantor shall cure identified gaps, obtain confirmatory assignments, and preserve signatures and evidence. Jointly owned and open-source assets require separate treatment.
Drafting analysis
- Instruction
- Complete a contributor and acquisition chain-of-title audit.
- Risk controlled
- Federal registrations do not prove every ownership link.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
5Registered Rights Schedules
Schedule 1 lists each material patent, application, trademark, application, copyright registration, unregistered work, foreign right, domain name, and license, including owner, jurisdiction, number, status, filing date, renewal, and encumbrance. Grantor shall update Schedule 1 [QUARTERLY / BEFORE SPECIFIED ADVANCES] and promptly after a material acquisition, issuance, abandonment, or permitted disposition.
Drafting analysis
- Instruction
- Use data exports from counsel and registrars, then verify.
- Risk controlled
- Stale schedules omit the assets a lender expects to cover.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
6Attachment and Perfection
The security interest attaches when the requirements of applicable Article 9 and the Principal Security Agreement are satisfied. Perfection and priority may require UCC filing, possession or control of related assets, or federal recordation; Schedule 3 states each required method, filing office, responsible party, and evidence. The parties acknowledge that federal recordation may provide notice without displacing Article 9 perfection and that ownership and lien priority remain subject to chain of title, earlier interests, and applicable law.
Drafting analysis
- Instruction
- Prepare a written perfection memo and filing matrix.
- Risk controlled
- IP perfection is category- and jurisdiction-specific.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
7Federal Recordation Documents
Grantor executes short-form patent, trademark, and copyright security documents designed for public recordation, with asset schedules and redactions permitted by law and office practice. Short forms evidence the security interest but do not replace the full agreement or disclose unnecessary economics. Secured Party controls submission, provides receipts, and records releases after discharge.
Drafting analysis
- Instruction
- Use current USPTO Assignment Center and Copyright Office requirements.
- Risk controlled
- Public filings can expose confidential deal terms or fail for formal defects.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
8After-Acquired IP
New applications, registrations, continuations, divisionals, reissues, renewals, extensions, foreign counterparts, acquired IP, new domain names, material software releases, and related proceeds become collateral within the agreed grant. Grantor provides update certificates and supplemental recordation documents on the selected cadence and materiality threshold.
Drafting analysis
- Instruction
- Avoid impossible real-time filing obligations for every minor work.
- Risk controlled
- After-acquired rights remain practically unperfected if schedules and filings never update.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
9Maintenance and Prosecution
Grantor maintains material registered rights, responds to office actions, pays fees, monitors renewals, and consults Secured Party before material abandonment, disclaimer, narrowing, or settlement, subject to budget and business-judgment thresholds. Secured Party does not control prosecution before default and is not liable for missed deadlines unless it expressly assumes the task.
Drafting analysis
- Instruction
- Define materiality and notice lead time by portfolio.
- Risk controlled
- A blanket maintenance covenant wastes resources on obsolete rights.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
10Licenses
Grantor shall not grant exclusive, below-market, perpetual, royalty-free, or other materially adverse licenses outside permitted licensing activity and shall not amend or terminate material inbound licenses without consent where the loan documents require. Ordinary-course customer and open-source licenses must remain permitted. License receivables and royalties follow the accounts and proceeds provisions.
Drafting analysis
- Instruction
- Create permitted-license baskets suitable for the business model.
- Risk controlled
- Overtight license covenants can prevent ordinary product sales.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
11Infringement and Claims
Grantor notifies Secured Party of material infringement, misappropriation, challenges, cancellation proceedings, and claims affecting validity or ownership. Grantor controls ordinary enforcement before default subject to consultation and finance covenants. Recoveries become proceeds after costs and approved reinvestment. No lender must fund litigation absent written election.
Drafting analysis
- Instruction
- Avoid requiring litigation over every suspected infringement.
- Risk controlled
- Mandatory enforcement can destroy value through uneconomic disputes.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
12Source Code, Escrow, and Repositories
Schedule 1 identifies authoritative source-code repositories, build systems, signing keys, escrow arrangements, administrative accounts, and disaster-recovery copies. Grantor shall maintain reasonable access and continuity controls and shall not transfer exclusive control outside permitted arrangements. Before an Event of Default, Secured Party has no right to access source code or credentials except through agreed diligence or escrow conditions.
Drafting analysis
- Instruction
- Coordinate with EF-052 and security policy.
- Risk controlled
- Immediate credential delivery creates security and customer risk.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
13Data and AI Assets
The lien reaches only Grantor's transferable contract, database, copyright, trade-secret, and other rights in datasets, models, weights, prompts, evaluation assets, and outputs. Personal data, customer data, licensed training data, and restricted models remain subject to law and contract. Schedules must record provenance, use rights, retention, deletion, and change-of-control restrictions.
Drafting analysis
- Instruction
- Obtain privacy and AI specialist review before valuing these assets.
- Risk controlled
- Calling data an owned asset can misstate privacy and contract rights.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
14Representations
Grantor represents, subject to the knowledge, materiality, and disclosed exceptions stated in Schedule 2, that it has authority to grant the security interest; owns or has the stated rights in scheduled IP Collateral; has disclosed material liens, validity or enforceability proceedings, infringement claims, licenses, contributor-assignment gaps, open-source use, data-right limitations, and known abandonment. Grantor does not guarantee the validity of issued rights or noninfringement by every product.
Drafting analysis
- Instruction
- Use a portfolio disclosure schedule and diligence record.
- Risk controlled
- Absolute IP representations are rarely supportable.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
15Predefault Rights
Grantor retains use, licensing, prosecution, enforcement, and commercialization rights before default within the credit documents. Secured Party receives information and inspection rights but no implied license, product responsibility, or authority to contact customers, registrars, repositories, or licensors. Protective steps require notice and a failure to perform unless emergency law permits otherwise.
Drafting analysis
- Instruction
- Preserve operational control and customer confidentiality.
- Risk controlled
- Premature lender interference can breach licenses and damage the business.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
16Default and Enforcement
After an uncured Event of Default, Secured Party may exercise lawful Article 9 and special-regime remedies, including assignment, licensing, disposition, collection, registrar or repository instructions, and prosecution steps, subject to commercial reasonableness, securities, privacy, export, customer, open-source, and license constraints. No remedy authorizes unlawful access, impersonation, or disclosure of personal data.
Drafting analysis
- Instruction
- Develop an asset-by-asset enforcement transition plan.
- Risk controlled
- IP value can collapse if enforcement disrupts service or violates licenses.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
17Power of Attorney and Further Assurances
A limited power of attorney becomes exercisable only after default or failure to complete an agreed perfection step and permits lawful signatures, filings, recordations, maintenance, and release-related actions reasonably necessary to protect collateral. Use is documented and does not authorize inventorship statements, false declarations, or unrelated licensing decisions. Grantor provides further assurances on reasonable request.
Drafting analysis
- Instruction
- Separate prosecution declarations requiring personal knowledge.
- Risk controlled
- A lender cannot safely sign every IP filing through generic power language.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
18Release and General Terms
Upon discharge of the secured obligations or an approved asset release, Secured Party shall within [NUMBER] business days file or deliver the UCC and federal releases in Schedule 4, withdraw registrar or escrow instructions, return control materials, and confirm termination as to the released IP Collateral, subject to identified contingent obligations and avoidance reserves. Notices must be delivered by [METHODS] to the completed addresses and are effective on [OBJECTIVE RECEIPT RULE]. Secured Party may assign this Agreement only with the related secured obligations; Grantor may not assign it. Article 9 choice-of-law rules govern perfection and priority, [STATE] governs other contractual issues, and applicable federal law governs recordation. A waiver must be written and applies only to the stated instance. Invalid terms are narrowed only to the minimum enforceable scope. Amendments must be signed by Grantor and Secured Party. Electronic signatures and counterparts are effective, but public-record short forms must satisfy office requirements. This Agreement supplements the Principal Security Agreement, which controls any conflict except that this Agreement controls the identification and federal recordation mechanics for IP Collateral. Confidentiality, reinstatement, release, dispute, and other terms intended by their nature to continue survive until final discharge.
Drafting analysis
- Instruction
- Prepare release forms at closing and update asset schedules at sale.
- Risk controlled
- A general payoff letter may not clear public IP records.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
