Corporate Guaranty and Reimbursement Agreement
A continuing payment-and-performance guaranty for an affiliate or holding-company guarantor, with capped and limited alternatives, waivers calibrated to applicable law, reinstatement, subrogation standstill, contribution, reimbursement, financial reporting, and release mechanics.
Drafting standard applied
Module control. Use only after corporate-benefit, authority, fraudulent-transfer, solvency, distribution, financial-assistance, tax, accounting, and bankruptcy review. Select payment versus collection guaranty, unlimited versus capped liability, continuing versus transaction-specific obligations, springing or burn-off provisions, multiple-guarantor contribution, and collateral support.
Operative form with optional analysis
Opening: This Corporate Guaranty and Reimbursement Agreement (this 鈥淕uaranty鈥) is delivered as of [DATE] by [GUARANTOR LEGAL NAME], a [STATE AND ENTITY TYPE] (鈥淕uarantor鈥), for the benefit of [LENDER LEGAL NAME] (鈥淟ender鈥), in connection with obligations of [BORROWER LEGAL NAME] (鈥淏orrower鈥).
1Guaranty
Subject to the cap, exclusions, burn-off, and mandatory law stated in Schedule 1, Guarantor irrevocably guarantees [SELECT: PUNCTUAL PAYMENT / COLLECTION AFTER THE ENFORCEMENT STEPS IN SCHEDULE 1 / SPECIFIED PERFORMANCE] of the Guaranteed Obligations when due. A payment guaranty does not require Lender first to proceed against Borrower or Collateral; a collection guaranty requires completion of the stated enforcement steps. Delete the two unselected architectures before signing.
Drafting analysis
- Instruction
- State the liability architecture in a front-page term sheet.
- Risk controlled
- Mixing payment and collection language creates enforcement uncertainty.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
2Guaranteed Obligations
鈥淕uaranteed Obligations鈥 means the principal, interest, fees, indemnities, protective advances, enforcement costs, and amendment exposure expressly identified in Schedule 1. Guaranteed Obligations exclude unlawful interest, released debt, materially expanded commitments lacking required Guarantor consent, and unrelated affiliate obligations. Schedule 1 states the treatment of contingent obligations and post-petition interest to the extent lawful.
Drafting analysis
- Instruction
- Tie each category to a signed finance document.
- Risk controlled
- All-obligations language can exceed corporate authority and benefit.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
3Cap, Reduction, and Burn-Off
Guarantor鈥檚 aggregate liability is capped at [AMOUNT / FORMULA]. [SELECT: The cap includes / does not include] accrued interest, enforcement costs, and protective advances, as specified in Schedule 1. Retained payments and recoveries reduce liability once, returned or avoided payments restore liability only to the extent of the return, and no recovery may exceed the Guaranteed Obligations. Any burn-off occurs automatically only after satisfaction of the objective tests, delivery of the certification, and absence of default stated in Schedule 1; it may revive solely for a specified avoided payment or material misrepresentation.
Drafting analysis
- Instruction
- Model cap behavior under partial payments and preference recovery.
- Risk controlled
- An undefined cap may not cap the most expensive items.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
4Nature of Liability
Guarantor's liability is primary or secondary as expressly selected and is independent of enforcement against Borrower or collateral, subject to defenses that cannot be waived. Lender may demand payment after the contractual trigger without first exhausting collateral only for a payment guaranty. No provision creates liability beyond the Guaranteed Obligations.
Drafting analysis
- Instruction
- Delete primary-liability language from a collection guaranty.
- Risk controlled
- Overstated independence can conflict with statutory surety defenses.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
5Continuing Guaranty
The guaranty continues through advances, renewals, and permitted amendments described in the finance documents, but material increases, new facilities, new borrowers, or fundamentally different obligations require consent if stated or required by law. Revocation applies only prospectively to optional future advances if the selected module permits and does not release existing or committed exposure.
Drafting analysis
- Instruction
- Define the amendment envelope and notice process.
- Risk controlled
- Unlimited advance consent can raise authority and fraudulent-transfer issues.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
6Waivers
To the fullest extent enforceable, Guarantor waives presentment, protest, notice of acceptance, and [OTHER SPECIFIC SURETYSHIP DEFENSES LISTED IN SCHEDULE 1], but retains [PAYMENT NOTICE / MATERIAL-AMENDMENT CONSENT / OTHER NEGOTIATED RIGHTS]. No waiver applies to fraud, bad faith, unlawful conduct, actual payment, written release, or a nonwaivable defense. A waiver is not expanded by implication.
Drafting analysis
- Instruction
- Review governing-state guaranty and anti-deficiency law.
- Risk controlled
- A wall of waivers may be unenforceable and obscure negotiated protections.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
7Changes to Credit and Collateral
Within agreed limits, Lender may extend time, modify rates, compromise, release or substitute collateral, and exercise remedies without discharging Guarantor. Material changes outside the permitted envelope require consent. Lender need not perfect or preserve every lien unless the finance documents say otherwise, but bad-faith impairment and mandatory protections remain.
Drafting analysis
- Instruction
- Coordinate with intercreditor and collateral-release provisions.
- Risk controlled
- Unbounded collateral-release consent can radically increase guarantor risk.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
8Reinstatement
If a payment or transfer is avoided, disgorged, recovered, or required to be returned in bankruptcy or otherwise, the guaranty is reinstated to the extent of the returned amount as though payment had not occurred, subject to the cap architecture and final nonappealable resolution or agreed reserve. Lender shall credit later retained recoveries and avoid double recovery.
Drafting analysis
- Instruction
- Define when contingent avoidance exposure finally ends.
- Risk controlled
- Reinstatement without credits can duplicate recovery.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
9Representations and Corporate Benefit
Guarantor represents on the date of this Guaranty that it has authority and approvals to execute and perform it; has received and reviewed the finance documents identified in Schedule 1; has disclosed conflicts and required organizational, shareholder, lender, and regulatory consents; and reasonably expects the direct or indirect benefit described in its contemporaneous board record. No representation is made as to corporate benefit beyond the documented facts.
Drafting analysis
- Instruction
- Prepare contemporaneous board resolutions and benefit record.
- Risk controlled
- An unsupported upstream guaranty is vulnerable in insolvency.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
10Solvency and Value
Guarantor represents solvency using the selected legal tests, ability to pay debts as they mature, adequate capital, and receipt of reasonably equivalent value only after finance and bankruptcy review. Qualify by date and disclosed assumptions. The parties may cap liability at the maximum enforceable amount, but savings language does not replace real solvency diligence.
Drafting analysis
- Instruction
- Obtain a solvency certificate for material guaranties.
- Risk controlled
- Savings clauses cannot reliably cure a fraudulent transfer.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
11Financial Information and Covenants
Guarantor shall deliver the financial statements and notices of material litigation, insolvency, liens, distributions, restructurings, and changes affecting this Guaranty at the times stated in the finance documents, subject to their materiality thresholds and cure periods. Lender shall protect nonpublic financial information using reasonable care and may disclose it only to personnel, professional advisers, financing sources, regulators, and assignees with a need to know and appropriate confidentiality duties.
Drafting analysis
- Instruction
- Align reporting dates and definitions with the borrower facility.
- Risk controlled
- Duplicative covenant packages produce inconsistent defaults.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
12Payments, Taxes, and Currency
Payments are made in the required currency, without setoff or counterclaim except nonwaivable rights, and subject to lawful withholding and gross-up provisions only if selected. Lender provides payment instructions and credits amounts received from Borrower, collateral, other guarantors, and insurance. Interest on guaranty demands cannot exceed law or the underlying documents.
Drafting analysis
- Instruction
- Review withholding and cross-border tax before adding gross-up.
- Risk controlled
- A guaranty can accidentally create broader tax obligations than the loan.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
13Subrogation Standstill
Until the Guaranteed Obligations are indefeasibly paid and commitments terminated, Guarantor subordinates and shall not enforce subrogation, reimbursement, contribution, indemnity, or collateral rights against Borrower or compete with Lender, except to preserve a claim as law requires. After release, rights revive only to the extent they do not cause double recovery.
Drafting analysis
- Instruction
- Coordinate with EF-078 and insolvency strategy.
- Risk controlled
- Premature reimbursement can drain the borrower and disrupt priority.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
14Contribution Among Guarantors
If multiple guarantors exist, allocate contribution using an agreed formula based on enforceable maximum liability, benefit, payments, or another defensible measure. Contribution rights remain subordinate until lender payoff. No contribution provision expands Lender's rights or reduces each guarantor's direct liability unless Lender expressly agrees.
Drafting analysis
- Instruction
- Use a separate inter-guarantor schedule where relationships are complex.
- Risk controlled
- Unclear contribution produces affiliate litigation after enforcement.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
15Setoff and Application
To the extent lawful and disclosed, Lender may apply amounts owed to Guarantor against due Guaranteed Obligations after default, subject to account-control, bankruptcy, and special-deposit rules. All recoveries are applied under the loan documents and applicable law. Lender shall maintain an accounting sufficient to prevent recovery beyond the Guaranteed Obligations.
Drafting analysis
- Instruction
- Do not assume every deposit is subject to setoff.
- Risk controlled
- Improper setoff can violate account, trust, or bankruptcy restrictions.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
16Remedies and Expenses
After a valid demand, Lender may pursue Guarantor and legally available remedies. Guarantor shall reimburse reasonable, documented enforcement costs only to the extent included in the Guaranteed Obligations and permitted by law. Equitable relief is available only upon satisfaction of applicable standards. Nothing in this Section creates a confession-of-judgment remedy or waives a jury. Any such remedy or waiver must appear in a separately negotiated, conspicuous rider and is effective only to the extent permitted by applicable law.
Drafting analysis
- Instruction
- Use a demand certificate stating amount and trigger.
- Risk controlled
- Remedy boilerplate can be invalid in the guarantor's jurisdiction.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
17Release
Release occurs upon objective payoff, commitment termination, expiration of avoidance risk treatment, satisfaction of burn-off conditions, or written lender release as selected. Lender shall deliver evidence and release collateral or control supporting only the guaranty. A borrower refinancing does not automatically release Guarantor unless the payoff process so provides.
Drafting analysis
- Instruction
- Include guaranty release in the closing funds-flow checklist.
- Risk controlled
- Ambiguous release leaves contingent exposure after a sale or refinancing.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
18General Terms
A demand or notice must be delivered by [METHODS] to the completed addresses and is effective on [OBJECTIVE RECEIPT RULE]. Lender may assign this Guaranty only with the related Guaranteed Obligations; Guarantor may not assign it without Lender鈥檚 prior written consent. This Guaranty is governed by [STATE], and exclusive proceedings must be brought in [FORUM], subject to mandatory guaranty, suretyship, anti-deficiency, insolvency, and fraudulent-transfer law. A waiver must be written and applies only to the stated instance. An invalid term is narrowed only to the minimum enforceable scope and may not enlarge liability. This Guaranty, Schedule 1, and the identified finance documents are the entire agreement on the guaranty and may be amended only in a writing signed by Guarantor and Lender. Electronic signatures and counterparts are effective. Lender鈥檚 books are prima facie evidence of amounts due, absent manifest error, but do not bind Guarantor to an incorrect or unlawful amount. Guarantor acknowledges access to counsel and the identified finance documents. Reinstatement, reimbursement, subrogation standstill, indemnity, dispute, and other terms intended by their nature to continue survive payment or termination until final release.
Drafting analysis
- Instruction
- Confirm service and forum rules for each guarantor.
- Risk controlled
- Generic boilerplate can conflict with anti-deficiency or consent requirements.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
